Welcome to MenuRepo. These Terms as well as Conditions (also referred to in its shortened form: "Terms") govern your access to and use of the MenuRepo website, platform, software, menu management services, digital menu solutions, design tools, templates, screen-display solutions and any or all related Services (collectively: the "Service").

At the core of MenuRepo is a solution to provide restaurants and other food-service businesses with a management centralization for new digital menu experience solutions. You can create an account, access the website, purchase a subscription or otherwise use any part of the Services only if you accept these Terms and agree to be legally bound by them.

You should not access or use the Services if you do not accept these Terms.

These Terms are a contract between you and MenuRepo, representing that governs the way you may use our Services.

You agree to commit to these Terms & agree, by signing up for an account or using the Services. The Services are subject to these Terms and so will all other policies, service-specific terms (terms that apply only to certain types of services), pricing terms (including any fees charged in connection with a service) promotional terms; and other provisions expressly incorporated into your agreement with MenuRepo.

Meaning that if you access or use MenuRepo on behalf of a restaurant, company, partnership, corporation, organization or other legal entity then (i) you represent and warrant that you are authorized to bind such entity to these Terms and (ii) the term "you" applicable to such entity.

You agree that any amended Terms of Service will be binding on you starting on the date such revised Terms are required by law.

Some features in MenuRepo may also require an account.

You agree to supply true, accurate, current and complete to the best of your knowledge. You are responsible for keeping your account information accurate and up to date whenever it gets outdated.

You also responsible to secure your account properly as password, user name, authentication credentials and any other credential you used for logging in.

You should follow rational security protocols so as not to allow someone else access your account. Do not pass your credentials to anyone who is unauthorized.

If you believe that your account may have been hacked or accessed without permission, complied with a security incident and should be reported to MenuRepo immediately.

You shall remain liable for all activities that occurred under your account, to the extent permitted by applicable law.

MenuRepo technology and digital tools are built to streamline the process of creating, managing, editing, publishing and displaying menus for restaurants and other food-service establishments.

Services might include, conditional on your chosen service plan:

At least 1 point of digital menu creation and management tools;

Templates and functionality design for menu;

Menu editing and management capabilities;

Capability of displaying on a digital screen;

Part-A-Material Take two presentation and display tools;

Carousel Behavioral functionality & Metrics;

Video menu playlists;

CONTENT organization and management; And MenuRepo is not responsible for any content, images, or videos uploaded by users.

Other features from time to time added or made available by MenuRepo.

Certain features that are available to you may be contingent on your subscription, plan, promotional offer, account settings or other applicable commercial terms.

You acknowledge and agree that MenuRepo may enhance, modify, upgrade, substitute or remove features or components of the Services from time to time consistent with applicable contractual and legal requirements.

You undertake to use the Services only in a responsible and lawful manner, adhering to these Terms.

You shall not use the Services to:

In case of violation (wherever it may be) of any law or regulation or ordinance, other legal requirement;

Harm or exploit another person by infringement, misappropriation or other violation of a third party's intellectual-property rights, privacy rights, publicity rights, or other legal rights;

Publish or distribute as content that is misleading, illegal, defamatory, fraudulent and/or otherwise violates Your Acceptable Use Policy (if you have one).

Accessing someone else's account, systems, networks or data without lawful permission.

Bypass, disable or defeat security mechanisms or access controls;

Reverse engineer, decompile, disassemble or attempt to extract any protected components of the Services as prohibited by law;

Incorporate malware, malicious software, viruses or other harmful technology;

Affect the platform's availability, integrity, performance, or security;

Carry out any kind of denial of service (DoS) attack or other destructive activity;

Access the Services using automated methods in a way that is not authorized;

Your only rights to MenuRepo materials are as expressly stated; you cannot resell, redistribute, sublicense, or commercialize any other way MenuRepo materials; or

Would not use the Services in a manner that may harm MenuRepo, its customers, service providers, systems or other users.

MenuRepo retains the authority to restrict, suspend or terminate access whenever it believes there is a need to enhance the protection of MenuRepo, its users, its legitimate business interests or the security and integrity of the Services.

MenuRepo also allows you to upload/create/store/manage/display contents/contents related to your business e.g. names, logos, photos, food images, menu descriptions and prices, promotional material and other materials (User Content).

You continue to own your User Content. You own the content that you create on your own and host through the Services, and MenuRepo does not.

However, in order to provide the Services, you grant MenuRepo and its contractors the rights reasonably necessary to enable your User Content to be hosted, stored, processed, reproduced, displayed and transmitted as contemplated by this Agreement and for MenuRepo to operate maintain secure deliver the Services.

You represent and warrant that you own, control or otherwise have sufficient legal rights, permissions, consents and licenses to upload and use your User Content.

This entails getting the right permissions for images, logos, trademarks, brand assets, menu descriptions, graphics, third-party content or any other intellectual property found in your content.

You are solely responsible for making sure that your User Content does not violate any applicable law or anyone's rights.

There is an available technology to handle menu information from MenuRepo. However, it does not verify each minute piece of information entering your account or published.

You have to make sure your menu information is right, up-to-date, complete and ready to be published.

This may include:

• Menu item names;
• Prices;
• Product descriptions;
• Ingredients;
• Information about allergens
• Availability;
• Promotional offers;
• Restaurant information;
• Contact information;
• Food photographs; and
• Other customer-facing information

Menus should be checked frequently before posting or displaying to customers.

You continue to have responsibility for meeting laws and regulations concerning food info, pricing, consumer disclosures, advertising, promotions, allergens or any such other information conveyed through your menus (where applicable).

However, MenuRepo do supply the tools required to manage this information and will not be liable for any inaccuracies that result from information you or your authorized users provide.

The MenuRepo platform and any documentation, processes, algorithms or code used in it establish contains MenuRepo-owned intellectual property (or if licensor-based so indicate) of MenuRepo or Hiloly Software.

All rights not expressly granted to you in these Terms are retained by their respective owners, including MenuRepo, its website and platform, any software, templates, design system / layout / graphics / text / user interfaces and functionality; documentation; or other proprietary materials that MenuRepo may own.

Under these Terms, the ownership of MenuRepo intellectual property will not be provided to you.

You shall not, without the express consent of "Independent Events"

Copy or reproduce MenuRepo proprietary Materials;

Design assets for Reseller MenuRepo;

Prepare derivative works based upon the Content;

Use or commercialize extracts of proprietary platform elements;

Reprint large parts of the platform; or

Use MenuRepo the intellectual property outside the extent permitted by the Services.

Your access to or use of the Services is only granted under a limited license and does not give you any other rights in MenuRepo intellectual property.

Some parts of the Services may contain or leverage third-party materials, technologies, software (including fonts), images, graphics, integrations, payment services or other components. Such materials may have separate license terms, restrictions on usage or other conditions.

Your sole responsibility is to ensure that third-party content you upload or incorporate into your menus independently from us is properly licensed for its intended use.

Use by you of third party materials (if any) supplied by you is not in the control of MenuRepo.

MenuRepo may provide administrative, technical, troubleshooting or security or account-recovery assistance as the case may be when reasonably needed.

Account-related information (accessible only by MenuRepo personnel where reasonably necessary for the purposes of support, investigation of technical issues with the Services, security or account recovery in order to protect the Services).

This access is done subject to prevailing privacy requirements and MenuRepo's Privacy Policy.

MenuRepo will go on seeking to restrict such access to the minimal side required for the corresponding support, operational or safety conduct.

Hiloly Software or an applicable third-party payment service provider may process Paid Services.

When purchasing a paid Service, you agree to provide current, complete and accurate billing information and authorize the applicable payment provider to process charges for such selected plan.

Your agreement with MenuRepo may include payment terms that we disclose to you at the time of purchase, for example, pricing, subscription periods, taxes, trials and promotional pricing.

It is your responsibility to review the relevant purchase details prior to consummating any purchase. We do not offer any refund.

MenuRepo may occasionally provide free trials, promotional subscriptions, discounts or other special offers.

The relevant offer details may include, but are not limited to its duration, eligibility criteria, features available under the promotional period, post-promotional price and other terms.

FREE TRIAL - Your access to a free trial does not give you an everlasting right to use the Services (with or without payment) after that period has elapsed unless otherwise specified.

You should read the relevant offer and Refund Policy before ordering your paid subscription.

MenuRepo endeavors to provide a high-quality Services but does not guarantee that access to the Services will be uninterrupted or free from error.

Sometimes, the Services may become or slow due to maintenance, upgrades, technical problems, security measures, internet or other infrastructure failures at MenuRepo or elsewhere (including third-party dependencies) and otherwise outside of MenuRepo's reasonable control.

MenuRepo specifically disclaims any warranty that the Services will be continuously available, uninterrupted, error free or interoperable with all devices, networks, configurations or business requirements.

MenuRepo will, where reasonably practicable, take appropriate steps to restore Services affected.

Using MenuRepo may involve the collection and processing of personal data.

You can find out more about how personal information is collected, used, stored, accommodated and protected in a relevant MenuRepo Privacy Policy.

You have reviewed the applicable Privacy Policy by using the Services.

We do not sell any user data at MenuRepo. However, we may need to disclose information where disclosure is required in order to fulfil the provision of the Services, comply with applicable law or legal process, protect rights and safety or as otherwise identified in the relevant Privacy Policy.

Without limitation, MenuRepo may restrict, suspend or cancel access to an account where it reasonably necessary to do so, including but not limited to cases where:

You materially breach these Terms;

• You create a serious risk to security, compliance, or operations;
• Account is used for illegal activity;
• Unpaid Applicable payment obligations;
• The exercise of your activity endangers the integrity or availability of the Services; or
• Suspending or terminating this Agreement is otherwise reasonably believed to be necessary to protect MenuRepo or its users.
• Where possible, and in accordance with local law, MenuRepo may offer advance notice or an opportunity to remedy the issue.
• Termination or suspension shall not affect any right or obligation of a party that, by its nature, is intended to survive termination.

The Services are available to you on an "as available" basis, to the fullest extent permitted by applicable law.

Except for standard disclaimers in any customer service agreement, nothing in these Terms is intended to exclude or limit any right, remedy, warranty or protection that the law provides you and cannot be excluded or limited under applicable law.

To the fullest extent permitted by applicable law, in no event will MenuRepo or its respective service providers be liable to you for any indirect, incidental, special, consequential or punitive damages arising out of or relating to your use of or inability to use the Services.

Limitations of liability in no way limit any legal right, which cannot be limited by mandatory law.

CRUCIAL LEGAL REVIEW: The specific standard of liability, exclusions and monetary limitation must be reviewed and approved by MenuRepo's legal counsel before publication since MenuRepo may provide for clients in distinct jurisdictions.

MenuRepo may modify these Terms from time to time, and such modification will be effective on the day of posting an update.

Where appropriate, MenuRepo may notify users by email or other reasonable means of material changes to the Agreement.

The amended Terms take effect as of the effective date.

Your use of the Services after the date these Terms are updated will be considered acceptance of revised Terms to the extent allowed by applicable law.

The governing law, jurisdiction and venue, and dispute-resolution mechanism for these Terms need to be finalized and vetted by MenuRepo's attorney before they are published.

These provisions are governed by the legal form and governing jurisdiction of MenuRepo and Hiloly Software, including international and U.S. customers of the Services.
